Agreement includes Clarkson Eyecare, EyeCare Associates, EyeCare Center, Nationwide Vision, and The Eye Doctors, expanding access to high-quality, neighborhood eye care

VIENNA, Va. — BusinessWire — MyEyeDr., a leading provider of comprehensive eye care and eyewear solutions, announced today that it has entered into an agreement with EyeCare Partners to acquire its optometry division, consisting of over 300 offices, including the Clarkson Eyecare, EyeCare Associates, EyeCare Center, Nationwide Vision and The Eye Doctors brands.

The acquisition will expand MyEyeDr.’s ability to serve more patients and communities, grow its position as a leader in optometry, and support long-term investment in doctors, associates, and patient care, through growth opportunities and shared best practices across a larger organization.

“MyEyeDr. was founded 25 years ago to combine industry-leading optometric eye care with world-class products and convenient support services. We have created a one-of-a-kind patient experience, a doctor-led service model that patients and communities trust and a scalable practice management platform that simplifies the insurance process,” said MyEyeDr. co-founder and CEO Sue Downes. “Today I am proud to share the news of MyEyeDr.’s continued growth throughout the US, reinforcing our commitment to access to care, and a shared passion of helping patients no matter their unique vision, health, or financial needs.”

“Bringing our organizations together is a major milestone in growing the profession of optometry while expanding access to high-quality, neighborhood-based care,” said EyeCare Partners CEO Chris Throckmorton. “We went to great lengths to find the ideal partner for our optometry business, with a commitment to clinical excellence and high-quality patient care being a key requirement. MyEyeDr. will build on the strength of the business and support its next phase of growth. I want to thank our doctors and team for their leadership.”

The acquisition is expected to close in Q4 2026 following receipt of required regulatory approvals.

This acquisition speaks directly to both organizations’ legacies of providing personalized eye care from trusted community doctors and knowledgeable teams who help patients see, look and be their best. MyEyeDr. will emerge from the transaction in an even stronger position to make personalized vision care available to everyone, bolster its leadership in clinical research, and grow centers of excellence for common eye diseases.

Bringing Clarkson Eyecare, EyeCare Associates, EyeCare Center, Nationwide Vision and The Eye Doctors together with MyEyeDr.’s existing portfolio of brands provides an opportunity to build on the strength of the overall company while thoughtfully meeting the needs of patients in the future.

This transaction will allow EyeCare Partners to sharpen its focus on its ophthalmology and ambulatory surgical center businesses, expanding access to specialty eye care and creating further value across the business.

Following the sale, EyeCare Partners expects to use the proceeds to reduce debt, increase liquidity, and strengthen its capital structure.

In connection with the sale, the Company will launch an exchange offer for certain outstanding term loans. The exchange offer, supported by lenders holding approximately 81% of the EyeCare Partners’ second-out term loan, is expected to extend maturities and support liquidity.

Guggenheim Securities LLC and CapM Advisors served as EyeCare Partners’ financial advisors on the sale of the EyeCare Partners optometry business, and Centerview Partners served as EyeCare Partners’ financial advisor on the term loan exchange transaction. Kirkland & Ellis LLP is counsel to EyeCare Partners.

Gibson, Dunn & Crutcher LLP served as legal advisor, and Moelis & Company LLC served as financial advisor to an ad hoc group of holders in the exchange transaction. Davis Polk & Wardwell LLP served as legal advisor to the administrative agent.
